General Terms and Conditions of Sale
This translation is provided for information only. Only the French version is legally binding.
Article 1. Identification and scope
These general terms and conditions of sale (GTCS) apply to all services provided by REIDROCHA EURL, a single-member limited company with share capital of €2,000, registered with the Mulhouse Trade and Companies Register (RCS) under no. 888 435 914, EU VAT number FR51888435914, registered office: 17 rue du Jura, 68440 Dietwiller, France (hereinafter "REIDROCHA").
They are intended exclusively for business clients (companies, associations, public bodies, self-employed professionals) acting for the purposes of their business, in France and abroad (hereinafter "the Client"). Sales to private individuals are not covered by these GTCS.
In accordance with Article L441-1 of the Code de commerce (French Commercial Code), they form the sole basis of the business relationship and prevail over the Client's purchasing conditions, unless REIDROCHA has agreed otherwise in a signed written document.
Article 2. Quotes and orders
Every service is the subject of a quote describing the content of each package, valid for 30 days. An order becomes binding on receipt of the quote signed with the words "bon pour accord" (approved) and payment of the deposit. Signing the quote constitutes acceptance of these GTCS, which are attached to the quote or available at www.reidrocha.com/cgv.
Any request not provided for in the quote is the subject of an additional quote or is invoiced on a time-spent basis in accordance with Article 3.
Services are offered as packages. Each package forms a coherent and indivisible whole, designed and priced as a single unit. The breakdown of stages and deliverables set out in the quote informs the Client of the content of the service; it constitutes neither a breakdown of the price nor a list of items that may be ordered, removed or invoiced separately. Accordingly, the Client may not request the removal of any part of a package in exchange for a price reduction, and the fact that the Client does not use any of the items included gives rise to no reduction or refund whatsoever.
Where several packages appear in the same quote for the same project, the parties expressly agree that they are indivisible within the meaning of Article 1186 of the Code civil (French Civil Code): acceptance of the quote constitutes acceptance of all the packages it contains.
Article 3. Prices
Prices are stated in euros excluding taxes; VAT is added at the applicable rate where due. Unless a fixed price is set out in the quote, time spent is invoiced per half-day according to the rate card in force on the date of the quote, available on request.
The following are not included, unless otherwise stated in the quote: printing and production costs, purchases from third parties (licensed photos and fonts, hosting, domain name, advertising space), and travel expenses beyond 50 km from Dietwiller, recharged at actual cost or according to the mileage scale.
REIDROCHA does not grant reduced rates based on the Client's status.
Article 4. Payment
A deposit of 40% of the quote amount including VAT is payable on ordering. The balance is invoiced on delivery or, where payment is made in instalments, according to the schedule set out in the quote (Article 7). Recurring services are invoiced monthly.
Invoices are payable within 30 days of their date of issue, by bank transfer or, for monthly services, by SEPA direct debit. No discount is granted for early payment.
Article 5. Late payment
Any late payment automatically incurs, from the day after the due date and without prior reminder:
- late payment penalties calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation, plus 10 percentage points;
- a fixed collection fee of €40 per invoice (Articles L441-10 and D441-5 of the Code de commerce), without prejudice to additional compensation on presentation of supporting documents.
After a formal notice that has remained unanswered for 8 days, REIDROCHA may suspend its services, and the handover of files, until full payment, without the Client being entitled to claim any compensation.
Article 6. Progress of work and approval
Unless otherwise stated in the quote, a creative service includes two creative concepts and three rounds of corrections on the chosen concept. Additional corrections, and any change after approval, are invoiced on a time-spent basis.
For the creation of a website, the Client has two months from delivery to submit any requests for changes in writing, up to a maximum of three grouped rounds. Once this period has expired, or beyond three rounds, the website is deemed accepted and any change is invoiced on a time-spent basis.
Each stage is approved in writing (e-mail is sufficient). Before any printing, the Client signs a print proof (bon à tirer); the Client is solely responsible for any errors it contains once signed.
Article 7. Instalment payments, going live and handover of digital deliverables
Payment for a digital deliverable (website, web or mobile application, automation, script, etc.) may be made in instalments; the number, amount and dates of the instalments are set out in the quote.
During production, the deliverable is developed and hosted on a REIDROCHA staging space, where the Client can view, test and approve it at any time. Making the final version available on this space constitutes delivery within the meaning of Article 6.
Going live on the Client’s hosting, the handover of access (hosting, domain name, administration, passwords) and of the files, and the assignment of the rights of use and exploitation provided for in Article 10, only take place once the final instalment has been received in full. Until then, REIDROCHA keeps the main access credentials, and the items delivered remain its property (retention of title, Article 2367 of the Code civil [French Civil Code]).
Where REIDROCHA takes out the hosting or the domain name on the Client’s behalf, it administers them and keeps them active until full payment, then transfers them to the Client’s name. The domain name chosen by the Client belongs to the Client: REIDROCHA may neither keep it nor use it for another client, and transfers it as soon as payment has been made in full.
If the deliverable goes live before full payment, at the Client’s request and with REIDROCHA’s written agreement, going live does not constitute an assignment of rights, which only takes place on full payment.
If an instalment is unpaid, Article 5 applies (late payment penalties, fixed collection fee and suspension after a formal notice that has remained unanswered for 8 days). The suspension may cover work in progress and access to the staging space; it ends as soon as payment is made and remains proportionate: REIDROCHA never deletes the Client’s content, and the texts, images and personal data supplied by the Client remain the Client’s and are returned on simple request, whatever the payment situation.
Article 8. Client's obligations
The Client provides the necessary content, information and approvals within the agreed deadlines. The Client warrants that it holds the rights to the texts, images, logos and trademarks it supplies, and indemnifies REIDROCHA against any third-party claim in this respect.
Any delay on the Client's part postpones the schedule accordingly. If a project remains on hold awaiting the Client for more than three months, REIDROCHA may invoice the work carried out and close the project.
Article 9. Photo shoots and filming
The quote specifies the time on site and the number of files delivered. Unless otherwise stated, a half-day shoot includes the selection and delivery of 30 retouched high-definition photographs; additional photographs are invoiced per unit. Raw files are not handed over.
The Client obtains the necessary consent from the people photographed or filmed and from the owners of the premises. A cancellation less than 48 hours before the session results in 50% of the planned service being invoiced; if weather conditions prevent an outdoor shoot, the session is postponed free of charge.
Article 10. Intellectual property
REIDROCHA retains the copyright in its creations until the price has been paid in full.
Once payment has been made in full, REIDROCHA assigns to the Client, on an exclusive basis, the rights of reproduction, representation and adaptation in the final creations listed in the quote, for the media and uses specified therein, worldwide and for a period of 10 years, in accordance with Article L131-3 of the Code de la propriété intellectuelle (French Intellectual Property Code). Any other use is subject to an amendment.
Concepts not selected, sketches and working files remain the property of REIDROCHA. Source files are only handed over if the quote provides for it. Elements purchased under licence from third parties (images, fonts, music) remain subject to their licence.
REIDROCHA does not guarantee the availability of a name or logo as a trademark; a prior-rights search with the INPI can be carried out on the basis of a quote.
Article 11. Source code, archiving and subsequent changes
The source code of each digital deliverable containing code produced by REIDROCHA (website, web or mobile application, automation, script, etc.), hereinafter the “deliverable”, is archived in a private repository on GitHub, an online service for storing and archiving code that keeps the full history of versions and is accessible only to REIDROCHA and the people it authorises; these repositories are private, never public.
The version of the deliverable delivered to and accepted by the Client (Article 6) is archived there as is, with its date. The Client may request a copy of this delivered version, i.e. the files of the deliverable as put into service, once the price has been paid in full (Article 7); the handover of source and working files remains governed by Article 10.
Any change to the deliverable made after delivery by the Client or by a third party (another developer, webmaster or service provider, a plugin or module added, an update to a connected service, a change of hosting or server, etc.) is made under their sole responsibility. REIDROCHA does not guarantee a deliverable modified by others and is not liable for any malfunctions resulting from such changes.
On request, REIDROCHA can restore the deliverable from the archived version. This restoration, like any repair of changes made by third parties, is subject to a quote and invoiced at the rates in force.
Article 12. Commercial reference
Unless the Client objects in writing, REIDROCHA may cite its name and show the work produced in its portfolio, on its website and on its social media, once the project has been made public.
Article 13. Referral of a new client
Any Client who introduces a new client to REIDROCHA (the “referrer”) receives a discount on its next invoice, under the following conditions:
- the new client is reported to REIDROCHA before signing its contract (a simple message is enough) and is not already a client of REIDROCHA; if it was referred by several people, the discount goes to the first one who reported it;
- the discount is 10% of the amount excluding VAT of the referrer’s next invoice, raised to 15% where the first contract signed by the new client amounts to €2,000 excl. VAT or more, up to a maximum of €300 excl. VAT per referral;
- it is only granted once the new client’s contract has been signed and its first payment received by REIDROCHA;
- it is a discount on the referrer’s own future services, never a commission, a payment or a percentage of the sums paid by the new client; it has no effect on the prices quoted to the new client;
- it can be used on an invoice issued within 12 months of being granted; it cannot be combined with any other offer and is neither refundable nor exchangeable for cash;
- it is granted to the legal entity or the entrepreneur holding the client account, never personally to an employee or a manager without the knowledge of their company, in order to rule out any risk of private bribery (Article 445-1 of the Code pénal [French Criminal Code]).
The referral scheme does not apply where the Client’s professional rules prohibit it from receiving a benefit for introducing a client, in particular for lawyers (Article 11.3 of the Règlement intérieur national [French national rules of the legal profession]) and doctors and healthcare professionals (Article R.4127-24 of the Code de la santé publique [French Public Health Code]), nor to public bodies. REIDROCHA may end it at any time with effect for the future, without affecting discounts already earned.
Article 14. Liability
REIDROCHA is bound by an obligation of means (best-efforts obligation). It does not guarantee commercial, audience or search-ranking results, which depend on external factors. Its liability is limited to direct damage and capped at the amount excluding VAT of the order concerned, or of the last 12 months for a monthly service. It is not liable for malfunctions resulting from changes made to a digital deliverable by the Client or a third party after delivery (Article 11).
Article 15. Force majeure
Neither party is liable for a failure caused by a force majeure event within the meaning of Article 1218 of the Code civil (French Civil Code). If the impediment lasts more than 60 days, either party may terminate the contract in writing; the work carried out remains payable.
Article 16. Termination
In the event of a serious breach by one party that has not been remedied 15 days after a formal notice, the other party may terminate the contract by registered letter. If the Client stops the project, the deposit is retained and any work carried out beyond it is invoiced on a time-spent basis.
Article 17. Subcontracting and confidentiality
REIDROCHA may entrust part of the work to partners (printers, developers, videographers), while remaining responsible to the Client for their performance. Each party keeps confidential any non-public information received from the other during the contract and for three years thereafter.
Article 18. Personal data
REIDROCHA processes its clients' data in accordance with Regulation (EU) 2016/679 (GDPR) and, for its Swiss clients, the Federal Act on Data Protection. Where REIDROCHA processes data on behalf of the Client (website, newsletter, social media), a data processing agreement compliant with Article 28 of the GDPR is appended to the quote.
Article 19. Clients established outside France
For a taxable Client established outside the European Union, in particular in Switzerland, services are not subject to French VAT (Article 259-1° of the Code général des impôts [French General Tax Code]); the Client pays, where applicable, the tax due in its own country (in Switzerland, the acquisition tax). The Client provides its VAT identification number (UID in Switzerland). Customs duties, import taxes and bank charges are borne by the Client. The penalties and fixed fee set out in Article 5 apply whatever the Client's country.
Article 20. Governing law and disputes
These GTCS and the contracts they govern are subject to French law, including where the Client is established in Switzerland or another country, excluding the Vienna Convention on Contracts for the International Sale of Goods and, for Swiss Clients, the rules of the Swiss Code of Obligations, in particular its Article 404, to the extent permitted by law.
The parties shall seek an amicable solution for 30 days from the written complaint. Failing that, any dispute falls under the exclusive jurisdiction of the commercial chamber of the Tribunal judiciaire de Mulhouse (France), including for Clients established in Switzerland pursuant to Article 23 of the Lugano Convention of 30 October 2007.
Article 21. Language
These GTCS are drawn up in French. In the event of translation, only the French version is authoritative.
